Argentina – CNV Publishes Substantial Shareholding Reporting Standards

On 13 December 2024, ARG CNV published substantial shareholdings reporting standards.

  • ARG CNV issued General Resolution 1036/2024 to modify standards (NT 2013, mod.).
  • Modified special reporting regime for substantial shareholding in issuers that qualify as markets under public offering rules, to align with Resolution 1035 amendments.

Highlights

  • Requires market shareholders to report to ARG CNV any variation in their shareholdings only when it reaches multiples of 2%, which simplifies the presenting of information.
  • Additionally, ARG CNV extended the timeframe for submitting the shareholding disclosure from immediately to a period of ten business days to provide more time to prepare report.
  • The reporting shareholders must submit the information regarding changes in their substantial shareholding through the Financial Information Highway system of the ARG CNV.
  • This will reduce costs associated with its submission and facilitate compliance.

Effectiveness

  • General Resolution 1036 is in effect from 16 December 2024.
