Netherlands – DNB UCITS Qualifying Shareholding

On 10 April 2024, NLD DNB said UCITS managers must notify of shareholding.

  • NLD DNB explained that investment firms and managers of UCITS have the obligation to annually notify NLD DNB of the holders of a qualifying shareholding and must also notify DNB when a holder of a qualifying shareholding increases or decreases the interest.
  • Follows NLD DNB October 2022 informed of declarations of no objection.

Notification Obligation

  • Investment firms and UCITS managers are obliged to notify NLD DNB annually in July of holders of a qualifying shareholding in their institution, so that they are known to DNB.
  • Informed that this obligation is included in Article 3:103, third paragraph of the Wft.
  • NLD DNB called on investment firms, UCITS managers to comply with this obligation.
  • Organization charts submitted under Documents via organizational details on MyDNB.
  • Per para. two of Article 3:103 of the Wft, investment firms, UCITS managers can also be obliged to notify DNB when a holder of a qualifying shareholding increases/reduces its holding; this must be complied with by investment firms and UCITS managers.
