France – Temporary Lowers Thresholds for Foreign Investment

On 23 July 2020, FR GVT issued decree 2020-892 of 22 July 2020 relating to the temporary lowering of control threshold for foreign investments in French companies whose shares are admitted to trading on a regulated market in official gazette.

  • Published in official gazette on 23 July 2020.
  • Decree does not apply to investments made within ten working days of its publication.
  • Made it possible to lower from 25% to 10% the threshold for the acquisition of voting rights likely to trigger control in French companies carrying out sensitive activities.
  • To limit the brakes on market liquidity during these operations, procedure would be simplified by notifying the General Directorate of the Treasury of reduced information.
  • Filing of common law request being subordinate to request to Minister within 10 days.
  • The silence of the Minister at the end of this period authorizes the investment.
  • On same day issued order of 22 July 2020 relating to the temporary lowering of the control threshold for foreign investments in French companies whose shares are admitted to trading on a regulated market setting out requirements for shareholding disclosures.
